Terms of Service

1. Agreement and Services

These Terms of Service govern your use of toknless, a desktop application developed and operated by Prolific Automation AI LLC, a Michigan limited liability company ("Company," "we," "us," "our"). By downloading, installing, or using toknless, you agree to be bound by these terms.

toknless is a tool that runs your own locally-installed Claude Code and automatically routes routine work to faster, cheaper models (including your own API credentials for Anthropic, OpenAI, Kimi, DeepSeek, GLM, and MiniMax). Your source code and project files stay on your machine; toknless does not upload them. Should we add optional syncing of files or session history, it will be off unless you turn it on and end-to-end encrypted so that we cannot read what is stored — see §2.7 of the Privacy Policy.

2. License Grant

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use toknless solely for your own work purposes, in accordance with these terms. You may not:

• Sublicense, resell, rent, or transfer toknless to others
• Reverse-engineer, decompile, or attempt to derive the source code of toknless's cloud components
• Use toknless to compete with, undermine, or build a derivative product for resale
• Remove, obscure, or alter any legal notices or proprietary marks

3. Your Obligations

You are responsible for:

• Your own credentials. You must provide your own Claude Code installation and your own API key or subscription account (Anthropic, OpenAI, or other supported provider). You are solely responsible for managing and protecting those credentials.
• Compliance with third-party terms. Your use of toknless must comply with the terms of service of your model provider (e.g., Anthropic's Claude, OpenAI's ChatGPT). We are not affiliated with, endorsed by, or responsible for any of those providers.
• Acceptable use. You may not use toknless for unlawful purposes, to attack or disrupt services, to send spam, or to facilitate unauthorized access to systems.

4. Billing and Subscriptions

Free Trial. toknless includes a 7-day free trial with full access. No payment details are required to start the trial, and you are never charged automatically. Your trial begins when you create an account in the app and click Start my 7-day free trial. One trial per email address. There is nothing to cancel during the trial — when it ends, access simply pauses until you choose to subscribe.

Paid Plans. To continue after the trial, you enter your payment details in the app and choose a plan. You are only charged after you actively start a paid subscription:

• Monthly: $9/month, auto-renews on the same calendar day each month
• Annual: $90/year, auto-renews annually
• Team (coming soon): $29 per seat per month, billed monthly

Auto-Renewal and Cancellation. A paid subscription auto-renews on its scheduled date unless you cancel. You can cancel at any time from inside the app (Settings → Subscription), via the billing portal link in your Stripe receipt email, or by emailing support@prolificautomation.ai. Either way you receive the prorated refund described in our Refund Policy.

When you cancel, we refund the unused, prorated portion of your current billing period, as described in our Refund Policy.

5. Payments and Stripe

All payments are processed by Stripe (stripe.com). Stripe charges payment methods on our behalf and does not disclose card data to us. We do not store, collect, or process your credit card numbers directly. You agree to Stripe's payment terms and privacy practices.

If a payment fails, you will be notified. Your subscription will remain active during the grace period; if payment is not collected within a reasonable time, your license key may be suspended.

6. Intellectual Property

toknless, its design, documentation, and underlying technology are owned by Prolific Automation AI LLC and protected by copyright and other intellectual property laws. Your license is limited to personal use and does not grant ownership.

"Claude," "Claude Code," and "Anthropic" are trademarks of Anthropic PBC. "OpenAI" and related marks are trademarks of OpenAI, LP. We are not affiliated with these entities and do not claim ownership of their intellectual property.

7. Disclaimers and Limitations of Liability

AS-IS. toknless is provided "as is" without warranties of any kind, express or implied. We do not warrant that the app is error-free, uninterrupted, secure, or fit for any particular purpose.

Limitation of Liability. To the maximum extent permitted by law, Prolific Automation AI LLC will not be liable for:

• Loss of data, revenue, profits, or business interruption
• Any indirect, incidental, special, or consequential damages
• Damages exceeding the amount you paid in the 12 months before the claim

Some jurisdictions do not allow exclusion of implied warranties or liability caps, so these disclaimers may not apply to you in full.

8. Indemnification

You agree to indemnify and hold harmless Prolific Automation AI LLC, its officers, and employees from any claims, damages, or costs (including legal fees) arising from:

• Your use of toknless in violation of these terms
• Your breach of applicable law or a third party's rights
• Your use of credentials or accounts you do not own or have no right to use

9. Termination

We may suspend or terminate your license and access to toknless if:

• You violate these terms
• Your payment fails and is not remedied within 30 days
• You engage in unlawful or harmful activity
• We discontinue toknless or service in your jurisdiction

Upon termination, your right to use toknless ends immediately, though you may retain a local archive of your work created before termination.

10. Changes to These Terms

We may update these terms at any time. Continued use of toknless after updates constitutes acceptance of the new terms. Material changes will be communicated to you via email to the address associated with your account.

11. Governing Law and Jurisdiction

These terms are governed by the laws of the State of Michigan, USA, without regard to conflict of law principles. Any disputes arising from or related to toknless will be subject to the exclusive jurisdiction of the courts of Michigan.

12. Severability

If any provision of these terms is found to be unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in full force.

13. Entire Agreement

These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Prolific Automation AI LLC regarding toknless and supersede all prior and contemporaneous communications.
